About the Role
This role is within our Entity Governance & Compliance team as a Senior Associate. We help our clients with complex business processes across a number of areas with a specific focus on risk, legal and compliance. This team is part of a fast-growing and exciting services area so we’re looking for someone enthusiastic to join our team and help us continue on our journey.
The responsibilities will vary depending on client need, but are likely to include:
Managing relationships with PwC’s clients where we have been engaged to provide governance and company secretarial support on a global basis for multinational groups usually headquartered in the UK or the US
the preparation and filing of confirmation statements and dormant accounts, drafting of minutes, incorporation of entities, director and officer changes, share allotments and transfers, drafting of powers of attorney, and conducting entity health checks
Ensuring that we are delivering support through this network of teams in accordance with the Global Operating Frameworks and the SLAs agreed with our clients
In particular, monitoring compliance to ensure that subsidiary companies around the world are being maintained in good legal standing and any corporate activities, such as changes in ownership or management, are being efficiently managed and implemented within timescales agreed with clients
Maintenance of legal entity management databases such as Diligent Entities or GEMs
Maintain annual compliance calendars to ensure all deadlines are met
Chair update calls with clients and manage the billing process for completed work
Essential skills and experience
Previous company secretarial or corporate governance experience
A desire to work as part of a team with effective communication and coaching skills
Demonstrate an inquisitive nature which is inclined to investigate, identify issues and solve problems
Ability to build and maintain credible relationships with clients, and internal business partners
Proven experience of delivering high quality output and attention to detail
Desirable skills and experience
ICSA: CGI qualification or MSc Management and Corporate Governance
Experience of using a legal entity management database such as Diligent Entities or GEMs
Experience gained with a professional services environment and a passion for client service
Experience of working in a process driven environment and balancing multiple priorities and deadlines
Experience of conducting quality reviews on work undertaken by others, providing coaching and feedback as necessary
